Merchant sells to Funder $67,500 of its future receipts for a purchase price of $50,000.
In plain English: you are paid $50,000 and you deliver back $67,500. Lesson 2 shows what that costs a year.
Merchant authorizes Funder to debit $535.71 each business day, based on a Specified Percentage of 12% of receipts.
In plain English: the payment is fixed. The percentage only explains how it was set. Lesson 3 asks: is it still 12% of what you really sold?
On Merchant's written request, Funder shall reconcile the payment to the Specified Percentage of actual receipts.
In plain English: this is the clause that can bring a payment down when sales fall. Lesson 4 shows how to ask.
Guarantor is personally liable if Merchant breaches any covenant in this Agreement.
In plain English: your own money, not only the business's, may be on the line. Lesson 8 shows how to tell which kind you signed.
An invented example. Your agreement's words will differ, and its exact words control.
What you'll learn
Start with what you sold. End with one page that shows every agreement you have signed. Each card shows a taste of what is inside.
What you sold, what it really costs, and how your payment was set.
Reconciliation, fees, early payoff, renewals and stacking.
Default, the guaranty, the UCC filing and the clauses at the back of the contract.
If sales drop or you cannot pay, and your whole agreement on one page.
"What you actually sold": the three questions courts ask about an MCA, the words to search for in your contract, and a worked example. No sign-up.
What's inside
Each one has the same six parts: plain English, where to find it in your contract, what it means in dollars, what to watch for, what to do now and a three-question check.
Every worked example is calculated from a made-up advance called Funder A. You can redo the math with your own contract on the same lines.
Each lesson gives you the words to press Ctrl+F on, so you can find the clause in a 30-page PDF in seconds.
One page per agreement, a real-sales worksheet, a reconciliation table and the ten questions to ask before you sign the next one.

No. General education, not legal advice. Your agreement's exact words control. For legal questions about your agreement, talk to a lawyer. The course shows you how to read your agreement, what to look for and what to ask. It does not tell you what your contract means for your case.
Owners who have signed a merchant cash advance, or are about to, and the partner or bookkeeper who sees the payments leave the account. You do not need a legal or finance background.

No. It teaches you to read your agreement and to ask the right questions. It does not contact your funder, and it cannot promise any result.
It explains the clauses in general, and it notes the state rules we know well: the New York confession of judgment rule, the New York and California financing disclosure laws, and Missouri's prepayment disclosure. Rules differ by state, and your agreement's exact words control.
